I have not thoroughly reviewed the documents. Look at paragraph 16 of the original agreement. Then look at the addendums. The last addendum reflects an agreement reached to allow for the ordering and shipping of new stock net 30. This addendum agreement was entered into with both parties being aware that there was old stock that had past due payments.

Each order placed pursuant to the addendum will likely be construed as a separate contract and enforced consistent with the express terms of the addendum.

Call me old fashioned, but I actually prefer to read documents (rather than review) before I opine on a legal matter. According, I suggest you READ Exhibit D as I provided above.

The damages flowing from Ruag’s breach will be greater than the damages it suffered by Prime’s breach.

Total damages, sure, but recoverable damages, unlikely. Per section 27 of the agreement, consequential damages are excluded, and it specifies lost profits and loss of goodwill.

Firstly - Bart is an HONEST Business man. - This speaks volumes and not only promotes & helps products sell, but they don't have the legal worries.

Well, in my experience parties weren’t getting along in the first place if one or both of them hired a lawyer. A good lawyer is a light bulb and a fan, in a dark room. The s*** that hits the fan was already there and being hidden.
